Attock Cement Pakistan Limited (PSX: ACPL) has taken a key step toward exploring a potential merger with Fauji Cement Company Limited. The company’s Board of Directors has authorized its management to examine the feasibility of the proposed transaction. Management will assess the potential merger and prepare recommendations for the Board. The Board will review those recommendations before deciding on the next steps.
Attock Cement to Assess Fauji Cement Merger
The authorization allows Attock Cement’s management to explore the potential combination with Fauji Cement.
However, the move does not confirm that a merger will take place. Management must first evaluate the feasibility of the proposed transaction.
Following the assessment, the management will present its recommendations to the Board of Directors for consideration.
Therefore, further developments will depend on the outcome of the feasibility review and the Board’s decision.
Company Plans Registered Office Shift
In the same meeting, Attock Cement’s Board also approved a proposal to relocate the company’s registered office.
The proposed move would shift the registered office from Karachi, Sindh, to Rawalpindi, Punjab.
However, shareholders must approve the proposal through a Special Resolution at the company’s forthcoming Annual General Meeting.
The company will also need to complete all applicable statutory and regulatory requirements before implementing the change.
Board Decision Announced Through Exchange Notification
Attock Cement disclosed both developments through a notification sent to the Pakistan Stock Exchange. The announcement places the potential merger assessment alongside the proposed relocation of the company’s registered office.
For now, the merger remains at the evaluation stage. The company has not announced a final decision on combining its operations with Fauji Cement. Similarly, the registered office relocation remains subject to shareholder approval and the completion of required regulatory procedures.
The coming stages will therefore determine whether the proposed merger moves forward and whether Attock Cement ultimately shifts its registered office to Rawalpindi.
